y ordenamientos complementarios: Comité de Ética, Procedimiento de Atención de Casos y Canal de Denuncias

TÍTULO PRIMERO

DISPOSICIONES GENERALES

CAPÍTULO I

Objeto, alcance y definiciones

 Artículo 1. El presente Código de Ética y Conducta establece los principios, valores y normas que rigen la actuación profesional y personal de quienes integran Martínez y de Labra, Abogados, así como la organización del Comité de Ética, el procedimiento de atención de casos y el Canal de Denuncias, con el fin de asegurar un ejercicio ético, responsable y conforme a la ley de la profesión jurídica.

 Artículo 2. Este Código es de observancia obligatoria para:

 I. Los socios;

 II. Los abogados;

 III. Los pasantes;

 IV. El personal administrativo; y

 V. Los terceros que actúen en nombre o representación de la firma.

 Artículo 3. Para los efectos de este Código se entenderá por:

 I. Socio Director General: el socio a cargo de la administración y dirección de la firma, máximo órgano de decisión para los efectos previstos en este ordenamiento;

 II. Comité o Comité de Ética: el órgano colegiado responsable de interpretar, supervisar y aplicar este ordenamiento;

 III. Miembro externo independiente: el abogado o despacho ajeno a la firma que se integra al Comité para un caso concreto, sin relación con las personas involucradas ni con el asunto;

 IV. Dirección Operativa: el área responsable de ejecutar las medidas que correspondan respecto del personal y de resguardar la información del Canal de Denuncias;

 V. Conflicto de interés: la situación, real, potencial o aparente, en la que un interés personal, económico, familiar o de cualquier otra índole pueda comprometer la objetividad o la lealtad debida a la firma o a un cliente;

 VI. Soborno o beneficio indebido: ofrecer, prometer, autorizar, entregar, solicitar o recibir cualquier ventaja, directa o indirecta, para influir indebidamente en una decisión o conducta;

 VII. Hostigamiento: el ejercicio del poder en una relación de subordinación real de la víctima frente a la persona agresora, manifestado en conductas verbales, físicas o ambas;

 VIII. Acoso: el ejercicio abusivo de poder que coloca a la víctima en estado de indefensión o de riesgo, con independencia de que exista relación de subordinación; tanto el hostigamiento como el acoso pueden tener connotación sexual;

 IX. Discriminación: todo trato que excluya, distinga o menoscabe derechos por origen, género, edad, discapacidad, condición social o de salud, religión, opiniones, preferencias o cualquier categoría análoga;

 X. Violencia laboral: los actos de hostigamiento, acoso, malos tratos, intimidación o cualquier conducta que dañe la integridad o la dignidad de las personas en el entorno de trabajo;

 XI. Entorno organizacional favorable: las condiciones de trabajo que promueven el respeto, la adecuada distribución de las cargas de trabajo, la comunicación clara y el trato digno;

 XII. Represalia: cualquier acto adverso, laboral, profesional o personal, en contra de quien reporta de buena fe, colabora en una investigación o ejerce un derecho previsto en este ordenamiento;

 XIII. Denunciante de buena fe: la persona que reporta con la convicción razonable de que la información es veraz, aun cuando el reporte resulte finalmente infundado;

 XIV. Medidas cautelares: las acciones temporales y proporcionales dictadas para proteger a las personas, evitar represalias o preservar la investigación, que no prejuzgan el fondo del asunto;

 XV. Secreto profesional: el deber de reserva sobre la información de los clientes, que subsiste incluso concluida la relación profesional; y

 XVI. Datos personales sensibles: aquellos que puedan revelar aspectos como el estado de salud, la vida sexual, el origen o las creencias, cuyo tratamiento exige protección reforzada.

CAPÍTULO II

Principios rectores

 Artículo 4. Las actividades de la firma se rigen por los siguientes principios:

 I. Legalidad: actuar en estricto apego a la legislación aplicable en las jurisdicciones donde se prestan los servicios;

 II. Integridad: conducirse con honestidad, rectitud y coherencia entre lo que se dice y lo que se hace;

 III. Independencia profesional: ejercer la abogacía con independencia de criterio, sin aceptar presiones indebidas de clientes, autoridades o terceros;

 IV. Confidencialidad: proteger la información y documentación de los clientes y de la firma, incluso después de concluida la relación profesional;

 V. Lealtad y diligencia profesional: defender los intereses de los clientes de manera leal, diligente y competente, dentro de los límites de la ley y la ética; y

 VI. Respeto a los derechos humanos: respetar y promover los derechos humanos en todas las actividades, conforme a la Política de Derechos Humanos de la firma.

TÍTULO SEGUNDO

NORMAS DE CONDUCTA

CAPÍTULO I

Conflictos de interés

 Artículo 5. Todas las personas integrantes de la firma deberán:

 I. Identificar y revelar oportunamente cualquier conflicto de interés real, potencial o aparente;

 II. Abstenerse de participar en asuntos donde exista un conflicto no mitigable; y

 III. Cumplir con los procedimientos internos de gestión de conflictos de interés.

CAPÍTULO II

Relación con clientes y secreto profesional

 Artículo 6. En la relación con los clientes, la firma:

 I. Actúa con transparencia, profesionalismo y comunicación clara;

 II. No acepta ni promueve prácticas ilegales, fraudulentas o contrarias a la ética; y

 III. Se reserva el derecho de rechazar o terminar la prestación de servicios cuando el asunto implique riesgos éticos, legales o de derechos humanos graves.

 Artículo 7. El deber de secreto profesional frente a los clientes se mantiene íntegro durante cualquier reporte o investigación interna. El uso del Canal de Denuncias no autoriza a revelar información cubierta por el secreto profesional más allá de lo estrictamente indispensable.

 Artículo 8. Cuando un reporte involucre información de un cliente o documentación de un asunto, el Comité accederá únicamente a lo indispensable para investigar la conducta señalada, separando, en la medida de lo posible, dicha información del fondo del asunto del cliente.

 Artículo 9. Si la investigación exige acceder a información protegida y ello pudiera comprometer el secreto profesional, el Comité documentará la tensión, adoptará las salvaguardas necesarias para garantizar la confidencialidad reforzada o incluso el anonimato, y, de ser preciso, consultará al Socio Director General sobre el alcance del acceso, sin que ello implique renuncia al secreto frente al cliente.

 Artículo 10. El secreto profesional protege la información del cliente; no ampara conductas ilícitas o contrarias a este Código por parte de las personas integrantes de la firma, ni puede invocarse para impedir una investigación legítima sobre dichas conductas.

CAPÍTULO III

Anticorrupción y cumplimiento normativo

 Artículo 11. Queda estrictamente prohibido:

 I. Ofrecer, prometer, autorizar o entregar sobornos o beneficios indebidos;

 II. Participar en actos de corrupción, tráfico de influencias o simulación jurídica; y

 III. Utilizar a la firma para encubrir actividades ilícitas.

 Artículo 12. Todas las personas integrantes de la firma deberán cumplir con la normativa aplicable en materia anticorrupción, de prevención de operaciones con recursos de procedencia ilícita y de cumplimiento, así como con los controles internos que la firma establezca para tal efecto.

CAPÍTULO IV

Regalos y atenciones

 Artículo 13. Los regalos y las atenciones no deberán influir, ni aparentar influir, en las decisiones profesionales, ni generar obligación alguna. Su ofrecimiento o aceptación se rige por los principios de moderación, transparencia y buena fe.

 Artículo 14. Queda prohibido ofrecer, solicitar, entregar o aceptar:

 I. Dinero en efectivo o equivalentes, con independencia de su monto;

 II. Regalos o atenciones dirigidos a influir indebidamente en una decisión o a obtener una ventaja indebida;

 III. Cualquier obsequio que, por su valor, frecuencia o circunstancias, pueda comprometer la objetividad o la imagen de la firma; y

 IV. Regalos o atenciones hacia o desde servidores públicos en relación con un asunto, salvo las cortesías institucionales expresamente permitidas y debidamente documentadas.

 Artículo 15. Se consideran admisibles las atenciones de negocio razonables, ocasionales y conformes a los usos profesionales, siempre que sean transparentes. Los regalos o atenciones que superen el valor que determine el Comité deberán reportarse y registrarse para su validación.

CAPÍTULO V

Ambiente laboral, prevención de la violencia y entorno organizacional favorable

 Artículo 16. La firma promueve un entorno organizacional favorable y un ambiente de trabajo respetuoso, profesional y libre de violencia laboral, hostigamiento, acoso y discriminación en cualquiera de sus formas.

 Artículo 17. Es política de la firma prevenir los factores que puedan afectar la salud o la dignidad de las personas en el trabajo, mediante el trato digno, la comunicación clara, la distribución equitativa de las cargas de trabajo y el respeto mutuo. Esta política se difunde a todas las personas integrantes de la firma.

 Artículo 18. Queda prohibida toda conducta de violencia laboral, hostigamiento, acoso o discriminación. Quien la presencie o la sufra podrá reportarla a través del Canal de Denuncias, con garantía de confidencialidad y de no represalia.

 Artículo 19. La firma adoptará medidas de prevención —difusión, sensibilización y capacitación periódica— y medidas de atención para las personas afectadas, incluida la canalización a apoyo profesional cuando una persona haya sido expuesta a un acontecimiento traumático severo con motivo o en ejercicio de su trabajo.

CAPÍTULO VI

Derechos humanos

 Artículo 20. La firma respeta y promueve los derechos humanos en todas sus actividades, conforme a su Política de Derechos Humanos, y rechaza cualquier conducta que los vulnere.

TÍTULO TERCERO

COMITÉ DE ÉTICA

CAPÍTULO I

Integración

 Artículo 21. El Comité de Ética se integra por tres miembros:

 I. Alejandra Martínez Orozco, Socia;

 II. José Luís de Labra Madrazo, Socio y Presidente del Comité; y

 III. José Luís Diáz Badial, Socio.

 Artículo 22. El Comité designará a un Secretario Técnico, miembro o no del Comité, responsable de convocar las sesiones, levantar las actas, integrar y resguardar los expedientes y dar seguimiento a los acuerdos. El Secretario Técnico no tendrá voto si no es miembro del Comité.

 Artículo 23. El encargo de los miembros del Comité tendrá una duración de dos años, renovable, y su renovación será escalonada para preservar la continuidad.

 Artículo 24. En caso de ausencia definitiva, renuncia o impedimento permanente de un miembro, el Socio Director General designará a su sustituto. Entretanto, el Comité podrá sesionar válidamente con los miembros restantes conforme a las reglas de quórum de este Título.

 Artículo 25. Todas las personas integrantes del Comité están sujetas a los deberes de confidencialidad, imparcialidad y no represalia.

CAPÍTULO II

Miembro externo independiente

 Artículo 26. El Comité podrá, y en los supuestos previstos en este Título deberá, integrarse con un miembro externo independiente: un abogado o despacho ajeno a la firma, con experiencia en cumplimiento, ética o derecho laboral, sin relación de parentesco, económica, profesional o de subordinación con las personas involucradas ni con el asunto.

 Artículo 27. El miembro externo independiente se incorpora únicamente para el caso concreto que motiva su designación, con voz y voto respecto de ese caso, y asume por escrito las obligaciones de confidencialidad e imparcialidad antes de conocer el expediente.

 Artículo 28. La designación del miembro externo independiente corresponde al Socio Director General o a los miembros del Comité no impedidos cuando el impedimento no los alcance a todos.

CAPÍTULO III

Facultades y principios de actuación

 Artículo 29. El Comité de Ética tiene las siguientes facultades:

 I. Interpretar y supervisar el cumplimiento de este ordenamiento y de la Política de Derechos Humanos;

 II. Recibir y analizar los reportes de posibles incumplimientos;

 III. Conducir investigaciones internas de manera confidencial e imparcial;

 IV. Emitir recomendaciones y medidas correctivas;

 V. Proponer sanciones conforme a la normativa interna; y

 VI. Promover la cultura ética y de cumplimiento dentro de la firma.

 Artículo 30. El Comité actuará conforme a los principios de confidencialidad, imparcialidad, debido proceso, presunción de buena fe y prohibición de represalias.

CAPÍTULO IV

Quórum, deliberación y votación

 Artículo 31. El Comité sesionará válidamente con la presencia de al menos dos miembros no impedidos. Cuando no sea posible reunirlos, se integrará al miembro externo independiente hasta alcanzar ese mínimo.

 Artículo 32. Las decisiones se adoptarán por mayoría de votos de los miembros presentes; cada miembro tendrá un voto.

 Artículo 33. En caso de empate, el Presidente tendrá voto de calidad; si estuviere impedido, lo ejercerá el miembro de mayor antigüedad no impedido y, de persistir, el asunto se integrará con el miembro externo independiente para deshacerlo.

 Artículo 34. De cada sesión se levantará acta, con carácter confidencial, en la que consten los asistentes, los acuerdos, el sentido de los votos y las excusas o recusaciones planteadas.

CAPÍTULO V

Conflictos de interés, excusa y recusación

 Artículo 35. Todo miembro del Comité deberá excusarse y abstenerse de conocer un asunto cuando:

 I. Sea la persona señalada en el reporte o el denunciante;

 II. Tenga parentesco, amistad o enemistad manifiesta, o relación económica, profesional o de subordinación con cualquiera de las personas involucradas;

 III. Tenga un interés personal, directo o indirecto, en el resultado del asunto; o

 IV. Exista cualquier otra circunstancia que comprometa, o razonablemente pueda comprometer, su imparcialidad.

 Artículo 36. El miembro que se excuse, o que sea recusado con causa por cualquiera de las personas involucradas, no participará en la deliberación ni en la votación, no tendrá acceso al expediente y no podrá influir, directa o indirectamente, en quienes conozcan del asunto. La excusa o la recusación se hará constar en acta.

 Artículo 37. Según la persona contra quien se dirija el reporte, se observará lo siguiente:

 I. Tratándose de un reporte contra un miembro del Comité, éste quedará excluido del caso y el Comité conocerá con los miembros restantes, integrando al miembro externo independiente; y

 II. Tratándose de un reporte contra dos o los tres miembros del Comité, o cuando se comprometa la imparcialidad de la mayoría, el caso será conocido por un panel ad hoc integrado por los miembros no impedidos, si los hubiere, y por uno o más miembros externos independientes, de modo que la mayoría del panel sea externa. La supervisión del panel y la designación de sus integrantes externos corresponderá al Socio Director General, con exclusión de los socios involucrados.

TÍTULO CUARTO

PROCEDIMIENTO DE ATENCIÓN DE CASOS

 Artículo 38. El Comité recibirá los reportes a través del Canal de Denuncias o de cualquier otro medio autorizado. Dentro de los cinco días hábiles siguientes, el Secretario Técnico registrará el reporte y, salvo que sea anónimo o que el denunciante pida no ser contactado, emitirá el acuse de recibo correspondiente.

 Artículo 39. Dentro de los diez días hábiles siguientes al registro, el Comité determinará si el asunto es de su competencia y si existen elementos suficientes para investigar. El Comité podrá admitir el reporte, desecharlo de manera fundada o solicitar información adicional, caso en el cual el plazo correrá a partir de su recepción.

 Artículo 40. En cualquier momento, cuando resulte necesario para proteger a las personas involucradas, evitar represalias o preservar la integridad de la investigación, el Comité podrá dictar medidas cautelares proporcionales y temporales, entre otras, la separación funcional de las partes, la restricción de acceso a información, el resguardo de evidencia o la prohibición de contacto. Las medidas cautelares no prejuzgan el fondo ni anticipan sanción alguna.

 Artículo 41. La investigación se realizará de forma confidencial e imparcial dentro de los treinta días hábiles siguientes a la admisión, prorrogables por una sola vez y por causa justificada que conste en acta. Podrá incluir entrevistas, revisión documental y análisis de información, respetando los derechos de las personas involucradas, incluido el de la persona señalada a ser oída y a ofrecer pruebas.

 Artículo 42. Concluida la investigación, el Comité, o el panel ad hoc en su caso, emitirá una resolución fundada y motivada que determine si existió o no incumplimiento y que proponga, según corresponda, recomendaciones, medidas correctivas o sanciones, respetando en todo momento el debido proceso.

 Artículo 43. La imposición de las medidas y sanciones se sujetará a lo siguiente:

 I. Tratándose de abogados, pasantes, personal administrativo y terceros, la resolución del Comité será vinculante en cuanto a la determinación del incumplimiento, y su ejecución material, incluidas las medidas laborales que procedan conforme a la legislación aplicable, corresponderá a la Dirección Operativa; y

 II. Tratándose de socios, el Comité no impondrá la sanción; remitirá su resolución y propuesta al Socio Director General, quien decidirá con exclusión del socio o socios involucrados y de cualquier socio impedido.

 Artículo 44. La persona afectada por una resolución podrá solicitar su revisión ante el Socio Director General, por una sola vez, dentro de los diez días hábiles siguientes a su notificación. La revisión no suspenderá las medidas cautelares dictadas para proteger a las personas o la integridad de la investigación.

 Artículo 45. El Comité dará seguimiento a la implementación de las medidas adoptadas y dejará constancia de su cumplimiento.

 Artículo 46. Toda la información relacionada con los casos será documentada y resguardada de manera confidencial por el Comité de Ética.

TÍTULO QUINTO

CANAL DE DENUNCIAS

CAPÍTULO I

Objeto y personas legitimadas

 Artículo 47. El Canal de Denuncias tiene por objeto permitir el reporte seguro, confidencial y de buena fe de posibles violaciones a este ordenamiento, a la Política de Derechos Humanos o a la legislación aplicable.

 Artículo 48. Podrán presentar reportes los socios, los abogados, los pasantes, el personal administrativo y los terceros relacionados con la firma.

CAPÍTULO II

Materia y medios del reporte

 Artículo 49. Podrán reportarse, entre otras, las siguientes conductas:

 I. Violaciones a este Código;

 II. Conflictos de interés no revelados;

 III. Actos de corrupción;

 IV. Acoso, hostigamiento o discriminación;

 V. Violaciones a los derechos humanos; y

 VI. Conductas ilegales o contrarias a la ética.

 Artículo 50. Los reportes podrán realizarse por escrito o de forma verbal, de manera identificada o anónima cuando la ley lo permita, a través del correo electrónico etica@fmlsc.mx o de cualquier otro medio que el Comité designe.

CAPÍTULO III

Principios y atención

 Artículo 51. El Canal de Denuncias se rige por los principios de confidencialidad, prohibición de represalias, trato imparcial y protección del denunciante de buena fe.

 Artículo 52. Todo reporte será recibido y registrado, analizado por el Comité de Ética e investigado conforme al Procedimiento de Atención de Casos.

CAPÍTULO IV

Uso indebido

 Artículo 53. El uso del Canal de Denuncias con mala fe o con información deliberadamente falsa podrá dar lugar a medidas disciplinarias. Un reporte que, presentado de buena fe, resulte finalmente infundado no dará lugar a sanción alguna.

CAPÍTULO V

Protección de datos personales

 Artículo 54. Los datos personales recabados a través del Canal de Denuncias se tratarán conforme a la legislación aplicable en materia de protección de datos personales en posesión de los particulares. La firma es responsable del tratamiento y la Dirección Operativa funge como área de resguardo, bajo la supervisión del Comité. La autoridad competente en la materia es la Secretaría de Anticorrupción y Buen Gobierno.

 Artículo 55. Los datos personales se tratarán únicamente para recibir, evaluar, investigar y resolver el reporte, dar seguimiento a las medidas y cumplir las obligaciones legales aplicables. No se utilizarán para fines distintos ni se transferirán a terceros, salvo a la autoridad competente o cuando lo exija la propia investigación.

 Artículo 56. Cuando el reporte implique datos personales sensibles, su tratamiento se limitará a lo estrictamente necesario y se sujetará a medidas de seguridad reforzadas.

 Artículo 57. El acceso al expediente se restringe a quienes conozcan del caso conforme a este ordenamiento, quienes asumirán por escrito el deber de confidencialidad.

 Artículo 58. Los expedientes se conservarán por un plazo de cinco años contado a partir de la resolución; concluido dicho plazo y cumplidas las obligaciones legales aplicables, se suprimirán o anonimizarán de forma segura.

 Artículo 59. Las personas titulares podrán ejercer sus derechos de acceso, rectificación, cancelación y oposición ante la Dirección Operativa, en los términos y con las limitaciones que la ley prevé para proteger la investigación y a terceros.

TÍTULO SEXTO

DISPOSICIONES FINALES

 Artículo 60. El incumplimiento de este ordenamiento podrá dar lugar a medidas disciplinarias, incluida la terminación de la relación profesional o laboral, sin perjuicio de las responsabilidades legales que correspondan.

 Artículo 61. Toda persona integrante de la firma deberá recibir, leer y acusar por escrito el conocimiento y la aceptación de este ordenamiento al incorporarse y cada vez que sea objeto de una modificación sustancial. El acuse es condición de la relación profesional o laboral y se conservará en el expediente respectivo.

 Artículo 62. La firma impartirá capacitación periódica sobre el contenido de este ordenamiento y promoverá su difusión y comprensión entre todas las personas integrantes.

 Artículo 63. Este ordenamiento entrará en vigor a partir de su aprobación y será revisado periódicamente para asegurar su actualización y eficacia.

CODE OF ETHICS AND CONDUCT

and complementary instruments: Ethics Committee, Case-Handling Procedure and Whistleblowing Channel

TITLE ONE

GENERAL PROVISIONS

CHAPTER I

Purpose, scope and definitions

 Article 1. This Code of Ethics and Conduct sets out the principles, values and rules governing the professional and personal conduct of the members of Martínez y de Labra, Abogados, as well as the organization of the Ethics Committee, the case-handling procedure and the Whistleblowing Channel, in order to ensure an ethical and responsible practice of the legal profession in accordance with the law.

 Article 2. This Code is binding upon:

 I. Partners;

 II. Attorneys;

 III. Law clerks;

 IV. Administrative staff; and

 V. Third parties acting on behalf of or representing the firm.

 Article 3. For the purposes of this Code, the following terms shall mean:

 I. Managing Partner (Socio Director General): the partner in charge of the administration and direction of the firm, and the highest decision-making body for the purposes set forth in this instrument;

 II. Committee or Ethics Committee: the collegiate body responsible for interpreting, supervising and applying this instrument;

 III. Independent external member: the attorney or firm unaffiliated with the firm who joins the Committee for a specific case, with no relationship to the persons involved or to the matter;

 IV. Operations Department (Dirección Operativa): the area responsible for implementing the applicable measures regarding personnel and for safeguarding the information of the Whistleblowing Channel;

 V. Conflict of interest: any actual, potential or apparent situation in which a personal, economic, family or any other interest may compromise objectivity or the loyalty owed to the firm or to a client;

 VI. Bribe or undue benefit: to offer, promise, authorize, give, request or receive any advantage, whether direct or indirect, in order to improperly influence a decision or conduct;

 VII. Workplace harassment with subordination (hostigamiento): the exercise of power within a relationship of actual subordination of the victim toward the aggressor, expressed through verbal or physical conduct, or both;

 VIII. Harassment (acoso): the abusive exercise of power that places the victim in a state of defenselessness or risk, regardless of whether a relationship of subordination exists; both forms of harassment may have a sexual connotation;

 IX. Discrimination: any treatment that excludes, distinguishes or impairs rights on the basis of origin, gender, age, disability, social or health condition, religion, opinions, preferences or any analogous category;

 X. Workplace violence: acts of harassment, mistreatment, intimidation or any conduct that harms the integrity or dignity of persons in the work environment;

 XI. Favorable organizational environment: working conditions that promote respect, an appropriate distribution of workloads, clear communication and dignified treatment;

 XII. Retaliation: any adverse act, whether labor-related, professional or personal, against a person who reports in good faith, cooperates in an investigation or exercises a right provided for in this instrument;

 XIII. Good-faith reporter: a person who reports with the reasonable conviction that the information is truthful, even if the report ultimately proves unfounded;

 XIV. Precautionary measures: temporary and proportionate actions ordered to protect persons, prevent retaliation or preserve the investigation, which do not prejudge the merits of the matter;

 XV. Professional secrecy: the duty of confidentiality regarding client information, which survives even after the professional relationship has ended; and

 XVI. Sensitive personal data: data that may reveal aspects such as health status, sexual life, origin or beliefs, the processing of which requires reinforced protection.

CHAPTER II

Guiding principles

 Article 4. The firm’s activities are governed by the following principles:

 I. Legality: acting in strict compliance with the legislation applicable in the jurisdictions where services are rendered;

 II. Integrity: conducting oneself with honesty, uprightness and consistency between what is said and what is done;

 III. Professional independence: practicing law with independence of judgment, without accepting undue pressure from clients, authorities or third parties;

 IV. Confidentiality: protecting the information and documentation of clients and of the firm, even after the professional relationship has ended;

 V. Loyalty and professional diligence: defending clients’ interests loyally, diligently and competently, within the limits of the law and ethics; and

 VI. Respect for human rights: respecting and promoting human rights in all activities, in accordance with the firm’s Human Rights Policy.

TITLE TWO

STANDARDS OF CONDUCT

CHAPTER I

 Conflicts of interest

 Article 5. All members of the firm shall:

 I. Identify and timely disclose any actual, potential or apparent conflict of interest;

 II. Refrain from participating in matters where a non-mitigable conflict exists; and

 III. Comply with the internal procedures for managing conflicts of interest.

CHAPTER II

Client relations and professional secrecy

 Article 6. In its relationship with clients, the firm:

 I. Acts with transparency, professionalism and clear communication;

 II. Neither accepts nor promotes illegal, fraudulent or unethical practices; and

 III. Reserves the right to decline or terminate the provision of services where the matter entails serious ethical, legal or human rights risks.

 Article 7. The duty of professional secrecy toward clients remains fully in force during any report or internal investigation. Use of the Whistleblowing Channel does not authorize the disclosure of information covered by professional secrecy beyond what is strictly indispensable.

 Article 8. Where a report involves client information or the documentation of a matter, the Committee shall access only what is indispensable to investigate the reported conduct, separating, to the extent possible, such information from the substance of the client’s matter.

 Article 9. If the investigation requires access to protected information and this could compromise professional secrecy, the Committee shall document the tension, shall adopt the safeguards necessary to ensure reinforced confidentiality or even anonymity, and, where necessary, shall consult the Managing Partner as to the scope of access, without thereby waiving secrecy toward the client.

 Article 10. Professional secrecy protects client information; it does not shield unlawful conduct or conduct contrary to this Code by members of the firm, nor may it be invoked to prevent a legitimate investigation into such conduct.

CHAPTER III

Anti-corruption and regulatory compliance

 Article 11. The following are strictly prohibited:

 I. Offering, promising, authorizing or giving bribes or undue benefits;

 II. Participating in acts of corruption, influence peddling or sham legal transactions; and

 III. Using the firm to conceal unlawful activities.

 Article 12. All members of the firm shall comply with the applicable regulations on anti-corruption, the prevention of operations involving resources of illicit origin (anti-money laundering) and compliance, as well as with the internal controls the firm establishes for that purpose.

CHAPTER IV

Gifts and hospitality

 Article 13. Gifts and hospitality must not influence, or appear to influence, professional decisions, nor create any obligation. Their offering or acceptance is governed by the principles of moderation, transparency and good faith.

 Article 14. It is prohibited to offer, request, give or accept:

 I. Cash or cash equivalents, regardless of the amount;

 II. Gifts or hospitality intended to improperly influence a decision or to obtain an undue advantage;

 III. Any gift that, by reason of its value, frequency or circumstances, may compromise the objectivity or the image of the firm; and

 IV. Gifts or hospitality to or from public officials in connection with a matter, except for expressly permitted and duly documented institutional courtesies.

 Article 15. Reasonable, occasional business courtesies consistent with professional custom are admissible, provided they are transparent. Gifts or hospitality exceeding the value determined by the Committee must be reported and recorded for validation.

CHAPTER V

Work environment, prevention of violence and favorable organizational environment

 Article 16. The firm promotes a favorable organizational environment and a respectful, professional work environment free from workplace violence, harassment and discrimination in any of their forms.

 Article 17. It is the firm’s policy to prevent the factors that may affect the health or dignity of persons at work, through dignified treatment, clear communication, an equitable distribution of workloads and mutual respect. This policy is disseminated to all members of the firm.

 Article 18. All conduct involving workplace violence, harassment or discrimination is prohibited. Any person who witnesses or experiences it may report it through the Whistleblowing Channel, with a guarantee of confidentiality and non-retaliation.

 Article 19. The firm shall adopt prevention measures — dissemination, awareness-raising and periodic training — and support measures for affected persons, including referral to professional support where a person has been exposed to a severe traumatic event in connection with or in the course of their work.

CHAPTER VI

Human rights

 Article 20. The firm respects and promotes human rights in all of its activities, in accordance with its Human Rights Policy, and rejects any conduct that violates them.

TITLE THREE

ETHICS COMMITTEE

CHAPTER I

Composition

 Article 21. The Ethics Committee is composed of three members:

 I. Alejandra Martínez Orozco, Partner;

 II. José Luís de Labra Madrazo, Partner and Chair of the Committee; and

 III. José Luís Diáz Badial, Partner.

 Article 22. The Committee shall appoint a Technical Secretary, whether or not a member of the Committee, responsible for convening sessions, drafting the minutes, compiling and safeguarding the case files and following up on resolutions. The Technical Secretary shall have no vote if not a member of the Committee.

 Article 23. The term of office of the Committee members shall be two years, renewable, and shall be renewed on a staggered basis to preserve continuity.

 Article 24. In the event of the permanent absence, resignation or permanent impediment of a member, the Managing Partner shall appoint a replacement. In the meantime, the Committee may validly meet with the remaining members in accordance with the quorum rules of this Title.

 Article 25. All members of the Committee are subject to the duties of confidentiality, impartiality and non-retaliation.

CHAPTER II

Independent external member

 Article 26. The Committee may — and, in the cases provided for in this Title, shall — be joined by an independent external member: an attorney or firm unaffiliated with the firm, with experience in compliance, ethics or labor law, with no family, economic, professional or subordination relationship with the persons involved or with the matter.

 Article 27. The independent external member joins solely for the specific case giving rise to their appointment, with voice and vote regarding that case, and assumes in writing the duties of confidentiality and impartiality before reviewing the case file.

 Article 28. The appointment of the independent external member corresponds to the Managing Partner or to the non-conflicted members of the Committee where the impediment does not affect them all.

CHAPTER III

Powers and principles of action

 Article 29. The Ethics Committee has the following powers:

 I. To interpret and supervise compliance with this instrument and with the Human Rights Policy;

 II. To receive and analyze reports of possible breaches;

 III. To conduct internal investigations in a confidential and impartial manner;

 IV. To issue recommendations and corrective measures;

 V. To propose sanctions in accordance with the internal rules; and

 VI. To promote the culture of ethics and compliance within the firm.

 Article 30. The Committee shall act in accordance with the principles of confidentiality, impartiality, due process, presumption of good faith and prohibition of retaliation.

CHAPTER IV

Quorum, deliberation and voting

 Article 31. The Committee shall validly meet with the presence of at least two non-conflicted members. Where it is not possible to convene them, the independent external member shall be incorporated until that minimum is reached.

 Article 32. Decisions shall be adopted by majority vote of the members present; each member shall have one vote.

 Article 33. In the event of a tie, the Chair shall have a casting vote; if the Chair is conflicted, it shall be exercised by the most senior non-conflicted member and, if the tie persists, the matter shall be joined by the independent external member to break it.

 Article 34. Minutes shall be drawn up for each session, on a confidential basis, recording those present, the resolutions adopted, the manner of voting and any abstentions or challenges raised.

CHAPTER V

 Conflicts of interest, abstention and recusal

 Article 35. Every Committee member shall abstain and refrain from hearing a matter where:

 I. They are the person identified in the report or the reporter;

 II. They have a family relationship, manifest friendship or enmity, or an economic, professional or subordination relationship with any of the persons involved;

 III. They have a personal interest, whether direct or indirect, in the outcome of the matter; or

 IV. Any other circumstance exists that compromises, or may reasonably compromise, their impartiality.

 Article 36. A member who abstains, or who is challenged for cause by any of the persons involved, shall not participate in deliberation or voting, shall have no access to the case file and may not influence, directly or indirectly, those hearing the matter. The abstention or challenge shall be recorded in the minutes.

 Article 37. Depending on the person against whom the report is directed, the following shall apply:

 I. In the case of a report against one member of the Committee, that member shall be excluded from the case and the Committee shall hear it with the remaining members, joined by the independent external member; and

 II. In the case of a report against two or all three members of the Committee, or where the impartiality of the majority is compromised, the matter shall be heard by an ad hoc panel composed of the non-conflicted members, if any, and one or more independent external members, so that the majority of the panel is external. The supervision of the panel and the appointment of its external members shall correspond to the Managing Partner, excluding the partners involved.

TITLE FOUR

CASE-HANDLING PROCEDURE

 Article 38. The Committee shall receive reports through the Whistleblowing Channel or through any other authorized means. Within the following five business days, the Technical Secretary shall register the report and, unless it is anonymous or the reporter requests not to be contacted, shall issue the corresponding acknowledgment of receipt.

 Article 39. Within the ten business days following registration, the Committee shall determine whether the matter falls within its competence and whether there are sufficient grounds to investigate. The Committee may admit the report, dismiss it on stated grounds, or request additional information, in which case the term shall run from its receipt.

 Article 40. At any time, where necessary to protect the persons involved, prevent retaliation or preserve the integrity of the investigation, the Committee may order proportionate and temporary precautionary measures, including the functional separation of the parties, the restriction of access to information, the safeguarding of evidence or a no-contact order. Precautionary measures do not prejudge the merits or anticipate any sanction.

 Article 41. The investigation shall be conducted confidentially and impartially within the thirty business days following admission, extendable once and for justified cause recorded in the minutes. It may include interviews, documentary review and analysis of information, respecting the rights of the persons involved, including the right of the person identified to be heard and to offer evidence.

 Article 42. Upon conclusion of the investigation, the Committee, or the ad hoc panel as applicable, shall issue a duly grounded and reasoned resolution determining whether or not a breach occurred and proposing, as appropriate, recommendations, corrective measures or sanctions, while respecting due process at all times.

 Article 43. The imposition of measures and sanctions shall be subject to the following:

 I. In the case of attorneys, law clerks, administrative staff and third parties, the Committee’s resolution shall be binding as to the determination of the breach, and its material enforcement, including the labor measures that may apply under the applicable legislation, shall correspond to the Operations Department; and

 II. In the case of partners, the Committee shall not impose the sanction; it shall refer its resolution and proposal to the Managing Partner, who shall decide, excluding the partner or partners involved and any conflicted partner.

 Article 44. A person affected by a resolution may request its review before the Managing Partner, on a single occasion, within the ten business days following its notification. The review shall not suspend the precautionary measures ordered to protect persons or the integrity of the investigation.

 Article 45. The Committee shall follow up on the implementation of the measures adopted and shall keep a record of their fulfillment.

 Article 46. All information relating to cases shall be documented and safeguarded confidentially by the Ethics Committee.

TITLE FIVE

WHISTLEBLOWING CHANNEL

CHAPTER I

Purpose and eligible persons

 Article 47. The purpose of the Whistleblowing Channel is to allow the safe, confidential and good-faith reporting of possible violations of this instrument, of the Human Rights Policy or of applicable legislation.

 Article 48. Reports may be submitted by partners, attorneys, law clerks, administrative staff and third parties related to the firm.

CHAPTER II

Subject matter and means of reporting

 Article 49. The following conduct, among others, may be reported:

 I. Violations of this Code;

 II. Undisclosed conflicts of interest;

 III. Acts of corruption;

 IV. Harassment or discrimination;

 V. Violations of human rights; and

 VI. Unlawful or unethical conduct.

 Article 50. Reports may be made in writing or orally, on an identified or anonymous basis where the law so permits, through the email address etica@fmlsc.mx or any other means designated by the Committee.

CHAPTER III

 Principles and handling

 Article 51. The Whistleblowing Channel is governed by the principles of confidentiality, prohibition of retaliation, impartial treatment and protection of the good-faith reporter.

 Article 52. Every report shall be received and registered, analyzed by the Ethics Committee and investigated in accordance with the Case-Handling Procedure.

CHAPTER IV

Misuse

 Article 53. Use of the Whistleblowing Channel in bad faith or with deliberately false information may give rise to disciplinary measures. A report that, having been submitted in good faith, ultimately proves unfounded shall not give rise to any sanction.

CHAPTER V

Protection of personal data

 Article 54. Personal data collected through the Whistleblowing Channel shall be processed in accordance with the applicable legislation on the protection of personal data held by private parties. The firm is the data controller and the Operations Department serves as the safeguarding area, under the supervision of the Committee. The competent authority in this area is the Secretaría de Anticorrupción y Buen Gobierno (Ministry of Anti-Corruption and Good Governance).

 Article 55. Personal data shall be processed solely to receive, assess, investigate and resolve the report, follow up on measures and comply with applicable legal obligations. It shall not be used for any other purpose nor transferred to third parties, except to the competent authority or where the investigation itself so requires.

 Article 56. Where the report involves sensitive personal data, its processing shall be limited to what is strictly necessary and shall be subject to reinforced security measures.

 Article 57. Access to the case file is restricted to those hearing the case under this instrument, who shall assume in writing the duty of confidentiality.

 Article 58. Case files shall be retained for a period of five years from the resolution; upon expiry of that period and once the applicable legal obligations have been met, they shall be securely deleted or anonymized.

 Article 59. Data subjects may exercise their rights of access, rectification, cancellation and objection before the Operations Department, on the terms and with the limitations the law provides to protect the investigation and third parties.

TITLE SIX

FINAL PROVISIONS

 Article 60. Breach of this instrument may give rise to disciplinary measures, including the termination of the professional or employment relationship, without prejudice to any applicable legal liabilities.

 Article 61. Every member of the firm shall receive, read and acknowledge in writing their knowledge and acceptance of this instrument upon joining and each time it undergoes a substantial amendment. The acknowledgment is a condition of the professional or employment relationship and shall be kept in the respective file.

 Article 62. The firm shall provide periodic training on the content of this instrument and shall promote its dissemination and understanding among all members.

 Article 63. This instrument shall enter into force upon its approval and shall be reviewed periodically to ensure its updating and effectiveness.
